1. Acceptance of Terms

These Terms and any policies referenced herein (collectively, the “Terms”) are a binding agreement between you (“you” or “User”) and Hookely (“Hookely”, “we”, “our”, or “us”). By accessing or using the Hookely website and services (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

2. Service Description

Hookely provides a platform enabling users to search for, collect, manage, and export business leads. Primary lead sources include:

  • Google Maps leads: local business listings and publicly available business metadata.
  • Social media leads: publicly visible online businesses, digital stores and profiles from supported platforms.

The Service also includes a built-in CRM, CSV/XLSX exports, and an optional email-scraper feature (available after Google Maps leads are generated). The Service may offer both free and paid features, and may change, suspend, or discontinue any part of the Service at any time.

3. Eligibility & Account

  • You must be capable of forming a legally binding contract to use the Service.
  • Provide accurate registration information and keep it current; you are responsible for activities under your account.
  • Protect your credentials and notify us immediately of unauthorized access.

4. Wallet, Payments, Free Leads & Refunds

4.1 Free Leads

New accounts receive 20 free leads credited at signup. Free leads are subject to the same usage limits and rules as paid leads.

4.2 Wallet Credits & Consumption

  • We operate a pay-as-you-go wallet. Credits are deducted according to posted pricing (for example, per lead or per feature use).
  • Credits do not expire while your account is active. If you delete your account, credits are forfeited unless otherwise required by law or our Terms.

4.3 Payment Processing

Payments are processed by third-party payment processors (currently PayPal and Binance Pay; additional providers such as Stripe may be added). You agree to the terms, privacy policies and fees of any payment processor you use. We do not store full payment card details.

4.4 Refund Policy

Refunds are available only in limited circumstances (for example, technical failures that prevent use of paid features). To request a refund you must contact support within 7 days of the transaction and cooperate with our investigation. We do not provide refunds for change of business needs, user error, dissatisfaction with outcomes, or restrictions imposed by third-party platforms. Approved refunds will be returned to the original payment method subject to processor policies.

5. Acceptable Use & Prohibited Conduct

You agree not to use the Service for unlawful purposes or in ways that violate third-party terms or infringe rights. Prohibited conduct includes, but is not limited to:

  • Using the Service to distribute spam, unsolicited commercial messages, or unlawful communications.
  • Using collected leads or scraped contact details in a manner that violates data protection, anti-spam, telemarketing or privacy laws.
  • Attempting to access non-public areas of the Service, circumvent security protections, or interfere with other users’ accounts.
  • Using automated extraction or scraping against a third-party’s terms where doing so is prohibited by that third party.
  • Reselling or republishing the Service in a way that violates these Terms or applicable law.

We may suspend or terminate accounts that use the Service in abusive ways or that pose a material legal or reputational risk.

6. Feature-Specific Terms

6.1 Third-Party Data & Accuracy

Data collected from Google Maps and social platforms originates from those third parties and may be inaccurate, outdated, or removed. We do not guarantee the accuracy of third-party data and are not responsible for such inaccuracies.

6.2 Email Scraper

The email-scraper is provided as a convenience to attempt to locate publicly available email addresses for leads you've generated from Google Maps. Use of the email-scraper may collect personal data; you are solely responsible for ensuring your collection and use of such data complies with all applicable laws (including data protection and anti-spam laws) and the terms of any third-party platforms. We do not guarantee the legality of scraping activity in your jurisdiction — you assume all risk. We may monitor, limit, or disable scraper access to prevent abuse.

6.3 CRM, Exports & Downloads

Leads you save in the built-in CRM are stored in your account. You may export lead lists to CSV and XLSX. Exported files may be temporarily stored to support downloads and backups. It is your responsibility to secure and use exported data lawfully.

7. Third-Party Sites & Services

The Service may interact with third-party APIs, websites, or services. Your use of third-party content is governed by the third party’s terms. We are not responsible for third-party availability, policies, or how they treat data obtained through our Service.

8. Intellectual Property

Hookely and its licensors own the Service and all related intellectual property rights, excluding content you upload. We grant you a limited, non-exclusive, revocable license to use the Service consistent with these Terms. You retain ownership of the content you upload, subject to the license you grant us to operate the Service.

9. Privacy & Data

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and share personal data. By using the Service you consent to the collection and cross-border transfer of your data as described in the Privacy Policy.

10. Termination & Account Deletion

We may suspend or terminate your access for violation of these Terms or where required by law. You may delete your account at any time through your settings or by contacting support; account deletion does not relieve you of obligations incurred prior to deletion. Deletion may not remove all copies of your data from backups and logs within a reasonable retention period.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE ERROR-FREE, OR UNINTERRUPTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKELY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE TOTAL AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Hookely, its officers, directors, employees and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of third-party rights or applicable laws (including misuse of scraped data or contact information); or (d) content you upload or send through the Service.

14. Arbitration Agreement & Class Action Waiver

14.1 Binding Arbitration

Except for matters in Section 14.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in Wilmington, Delaware or remotely if the parties agree.

14.2 Class-Action Waiver

YOU AND HOOKELY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.3 Opt-Out

You may opt out of this arbitration agreement within 30 days of first using the Service by emailing support@aileadgen.com with your name, account email, and a clear statement that you opt out of arbitration.

14.4 Small Claims & Injunctive Relief

Either party may bring an individual action in small claims court, and either party may seek temporary or preliminary injunctive relief in court to protect intellectual property or to prevent unauthorized use of the Service.

15. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. For disputes not subject to arbitration or to the extent a court determines arbitration is unenforceable, the exclusive venue shall be the state or federal courts located in Wilmington, Delaware.

16. Data Processing Addendum (DPA)

Business customers who require a DPA under applicable data protection laws (for example, GDPR) may request a DPA by contacting support@aileadgen.com. Our DPA describes roles, subprocessors, cross-border transfers, and incident handling.

17. Taxes

You are responsible for all applicable taxes associated with purchases of credits or paid features. Where required by law we may collect taxes or require you to provide a tax identification number.

18. Modifications to the Service or Terms

We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will provide notice (for example, via the Service or email). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

19. Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • Entire Agreement: These Terms and any referenced policies (including the Privacy Policy) constitute the entire agreement between you and Hookely regarding the Service.
  • No waiver: Failure to enforce any provision does not constitute a waiver.
  • Assignment: You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale.
